General Terms and Conditions (GTC)

Effective from: March 2026

These General Terms and Conditions (“GTC”) govern the customer's access to the software-as-a-service platform provided by PipeGenius (the “Platform”) and all associated features and services (collectively the “Services”), provided by PipeGenius GmbH.

1. Definitions

Customer
The company or organisation entering into a contract with PipeGenius.
User
Any person authorised by the Customer to use the Services.
Services
The PipeGenius platform including all features according to the selected plan.
Plan
The subscription model chosen by the Customer.
Licence
The right to use the Services in accordance with these GTC.

2. Acceptance of Contract

These GTC apply exclusively to entrepreneurs within the meaning of § 14 BGB (German Civil Code). A contract is concluded by signing an individual offer or order confirmation referencing these GTC. By initially accessing the Services, the Customer acknowledges these GTC. Continued use after changes to the GTC constitutes acceptance of the updated version, provided the Customer does not object within 30 days of notification of the change.

3. Scope of Services

The Services are accessible via a web application and an Outlook add-in. Scheduled maintenance or updates will be announced in advance where possible and preferably carried out outside normal business hours. PipeGenius strives for high availability but cannot guarantee uninterrupted access. Brief restrictions due to maintenance, updates or technical issues do not entitle the Customer to a refund or credit.

4. Licence

PipeGenius grants the Customer a non-exclusive, non-transferable licence to use the Services for internal business purposes. Reverse engineering, decompilation or resale of the Services is not permitted.

5. Fees and Billing

5.1 Subscription: Prices are based on an individual offer.

5.2 Payment: Payment is due at the beginning of each billing period. Payment is made by SEPA bank transfer. In the event of a payment delay of more than 14 days, PipeGenius reserves the right to temporarily suspend access after prior notice.

5.3 Renewal: Subscriptions renew automatically for the agreed period unless cancelled in writing with 30 days' notice before the end of the term.

5.4 Price Adjustments: PipeGenius reserves the right to adjust prices at the time of contract renewal. Price changes will be communicated to the Customer in writing at least 30 days before the start of the new term. If the Customer objects to the price adjustment, the Customer may terminate the contract at the end of the current period.

5.5 Plan Changes: The Customer may change the plan at any time. Billing will be adjusted accordingly.

5.6 Additional Users: Additional users may be added during the term; billing is prorated.

5.7 Licence Transfer: Licences may be transferred to other users within the same subscription upon written notice.

6. Confidentiality of Access Credentials

The Customer is responsible for the secure storage of all access credentials. All actions carried out using the Customer's credentials are deemed authorised.

7. Use of Services

Use must comply with applicable law and usage policies. Prohibited activities include misuse, automated data extraction or circumvention of security measures.

8. Intellectual Property

All rights to the Platform remain with PipeGenius. The Customer may not copy, modify, distribute or commercially exploit content.

9. Customer Data

The Customer retains all rights to data uploaded by them. PipeGenius receives a limited licence to process this data solely for the purpose of providing the Services. Use for development purposes is limited to anonymised and aggregated form. Use for marketing purposes requires explicit consent.

10. Warranty

The Services are provided on an “as available” basis. PipeGenius warrants that the Platform substantially conforms to the described functionality. Defects will be remedied through regular updates. There is no entitlement to individual customisations or feature extensions. Warranty is limited to the remediation of reproducible errors within a reasonable period.

11. Data Protection and Data Processing

The processing of personal data is governed by the PipeGenius privacy policy, available at pipegenius.de/datenschutz, which forms an integral part of these GTC.

Insofar as PipeGenius processes personal data on behalf of the Customer, the parties shall conclude a data processing agreement (DPA) pursuant to Art. 28 GDPR. The DPA is provided upon request.

12. Trademark Rights

PipeGenius trademarks may only be used with prior written consent.

13. Third-Party Services

PipeGenius uses selected technical service providers to deliver the Services (e.g. for hosting and document processing). Data processing by these providers is carried out on the basis of data processing agreements pursuant to Art. 28 GDPR. PipeGenius assumes no responsibility for external services that the Customer independently connects or uses.

14. Liability

14.1 Limitation of Liability: The liability of PipeGenius is limited to the annual net contract value of the respective Customer. This does not apply in cases of intent, gross negligence, breach of material contractual obligations or damage resulting from injury to life, body or health.

14.2 Indirect Damages: PipeGenius is not liable for lost profits, data loss or other indirect damages unless caused by intent or gross negligence.

14.3 Indemnification: Both parties undertake to indemnify the other party against damages and claims arising from unauthorised use, data misuse or infringement of third-party rights.

15. Termination

15.1 By PipeGenius: PipeGenius may terminate the contract in the event of payment default or material breach after prior notice.

15.2 By the Customer: The Customer may terminate the contract in writing by email to cancel@pipegenius.de. Termination takes effect at the end of the current billing period. No refund of amounts already paid for the current period will be made.

15.3 Data Provision after Termination: After termination of the contract, PipeGenius will provide the Customer within 14 days with a time-limited download link through which the Customer can export their data in a standard format. This link is valid for 30 days.

15.4 Data Deletion: 90 days after termination of the contract, all customer data will be irrevocably deleted, unless statutory retention obligations apply. The Customer will be reminded by email before deletion.

15.5 Access Suspension: Upon termination taking effect, access to the Platform will be suspended. Outstanding claims become due immediately.

16. Jurisdiction and Governing Law

These GTC are governed by German law. The place of jurisdiction for all disputes is Aachen.

17. Final Provisions

  • Notices: To the respective known business address.
  • Entire Agreement: These GTC supersede all prior agreements.
  • Severability Clause: The invalidity of individual clauses does not affect the validity of the remaining provisions.
  • Amendments: Amendments require written form.
  • Assignment: The Customer may not transfer rights and obligations without consent.
  • Force Majeure: Neither party is liable for delays beyond its control.
  • Applicability to Businesses: These GTC are directed exclusively at entrepreneurs within the meaning of § 14 BGB (German Civil Code). No statutory right of withdrawal for consumers applies.
